PURPOSE: The purpose of this agreement is to set out the terms and conditions for the operation of the X-Card Discount Card fund raising program with the fundraiser (organizer) and the X-Card distributor.

PROGRAM: The X-Card is a regional discount card good at several locations from restaurants, oil changes, carpet cleaning, etc. for a variety of discounts from a few dollars off the regular price to buy one get one free or a percentage off the final sale price. The program consists of the distributor providing X-Cards with a retail value of $10.00 per card. The organization shall pay for the X-Cards through active promotion and sales of the X-Cards to potential parties interested in purchasing an X-Card.

OBLIGATIONS of the DISTRIBUTOR: The distributor shall provide X-Cards to the organizer to be sold and distributed by the organizer.

OBLIGATIONS of the ORGANIZER: The organization shall be responsible for the following: 1. Designate members of the organization to coordinate and actively promote the program. 2. Order X-Cards at least two weeks prior to the start date. 3. Distribute X-Cards and all necessary materials to the participants and keep them informed of the start and end date. 4. Provide the necessary facilities for storage and security of the X-Cards. Appoint personnel to distribute X-Cards to members. 5. Sell X-Cards for the full retail price of $10.00 collecting money at time of sale. 6. Within 7 days after end date of the program. Organizer must pay distributor the agreed upon sum of $3.00 / $4.00 / or $5.00 per card sold and return all unsold X-Cards. The number of cards sold by organizer shall determine amount to be paid to distributor. The following chart will apply. Up to 75 X-Cards distributor will receive $5.00 per X-Card. Between 76 and 199 X-Cards distributor will receive $4.00 per X-Card. 200 or more X-Cards distributor will receive $3.00 per X- Card. Lost and unsold cards not returned will be treated as sold and distributed will collect full payment from the organizer. 7. Organizer and distribute will comply with all state and federal laws that apply to the program including but not limited to state and local sales tax and use tax requirements. 8. Advise any other distributor that contacts the organizer, while this agreement is in effect that it has already entered into an agreement with this distributor for the term listed in this agreement.

TERM: The agreement shall be in effect for the dates listed in this document.

ENTIRE AGREEMENT: This agreement contains all of the covenants between the Distributor and the Organizer and no agent or representative of the Distributor or the Organization has authority to modify, and, or change any terms or conditions of this agreement. The organization agrees that no oral or written statements, promises, representations or guarantees by the Distributor, other than those contained in this agreement, have been made to the organization.

BINDING AGREEMENT: Upon execution by the authorized representative of Distributor and Organizer, this agreement shall be binding upon all administrators, successors and assigns of both Distributor and Organization. In the event this agreement is cancelled after ordering of the X-Cards, a fee equal to the full cost of the printing will be assessed to the Organization.

STATUS of PARTIES: The Distributor and the Organizer are each independent entities. Neither the Distributor nor the Organizer are acting as an agent for the other, or are the members of the Organizations acting as agents for the Distributor.
